Mega Business Law Shake-Up Targets Kenya’s Investment Climate

The draft Business Laws (Amendment) Bill, 2025 bundles wide-ranging changes to core commercial statutes including the Companies Act, Stamp Duty Act, Special Economic Zones Act, Export Processing Zones Act and several tax laws, all pitched as improving ease of doing business and aligning with global practice. Proposals cover stamp duty relief for corporate reorganisations, clearer rules for transfers involving LLPs and REIT-related structures, and tighter frameworks around SEZ/EPZ licensing, incentives and compliance.

If enacted, the law will reshape how businesses structure mergers, restructurings and capital projects, and how investors access and keep SEZ/EPZ incentives. Legal and tax advisers are treating it as the flagship commercial reform to watch in early 2026, with stakeholders already lobbying around contentious clauses through public participation channels.
